Trump wasted no time in nominating Jay Clayton, Partner at Sullivan Cromwell, as his pick for the chairman of the SEC. Clayton, a veteran Wall Street attorney, is renowned for his <a href=\"http:\/\/www.sullcrom.com\/lawyers\/Jay-Clayton\">expertise<\/a> in public and private mergers, acquisitions transactions, capital market offerings, and regulatory and enforcement proceedings. The direction that Clayton will take in guiding the SEC can be most accurately inferred by comparing his history on Wall Street with that of the current SEC chair, Mary Jo White.<\/p>\n<p>Jay Clayton has seen both the glamour and the downside of Wall Street, and his roles in both have impressed upon him the need to ease rules for the formation of new capital. Clayton participated in Alibaba\u2019s $25 billion IPO, the largest-ever global IPO, and has frequently represented <a href=\"http:\/\/www.wsj.com\/articles\/president-elect-trump-to-nominate-jay-clayton-securities-and-exchange-commission-chairman-1483545999\">Goldman Sachs<\/a>. However, these experiences are tempered by Clayton\u2019s involvement in the 2008 financial crisis, where his aptitude for skilled deal-making in sensitive situations was cemented. He was also <a href=\"http:\/\/www.wsj.com\/articles\/president-elect-trump-to-nominate-jay-clayton-securities-and-exchange-commission-chairman-1483545999\">enlisted<\/a> by Bear Stearns\u00a0in connection with the sale of Bear Stearns to JPMorgan Chase and Barclays Capital\u00a0in connection with its purchase of assets of Lehman Brothers out of bankruptcy.<\/p>\n<p>If Clayton has established himself as a deal-maker, then White has cast herself firmly as an aggressive regulator. Nominated in 2013 by former President Obama, White was selected because of her successful <a href=\"http:\/\/www.omaha.com\/money\/obama-says-don-t-mess-with-his-sec-nominee-mary\/article_8a6fd689-7de7-5a44-b03b-091822ddb6ae.html\">history<\/a> of high-profile prosecutions. White, a former U.S. attorney for the Southern District of New York, placed a renewed emphasis on the SEC\u2019s mission to \u201c<a href=\"http:\/\/www.sec.gov\/news\/speech\/chair-white-speech-new-york-university-111816.html\">investigate to litigate<\/a>\u201d with an eye towards fines. Indeed, in White\u2019s tenure, the SEC brought in a record-setting <a href=\"http:\/\/www.sec.gov\/news\/pressrelease\/2016-238.html\">2,850<\/a> enforcement actions, achieved sanctions that totaled over $13.4 billion, and charged over 3,300 companies with violations.<\/p>\n<p>Just as their pasts give clues to the compliance aims of Clayton and White, so too do the contrasting nomination statements given by former President Obama and President Trump. Former President Obama compared White to a \u201ccop on the beat\u201d enforcing compliance, calling attention to her past prosecutions, and warning against irresponsible behavior. Obama summarized his selection by <a href=\"http:\/\/www.omaha.com\/money\/obama-says-don-t-mess-with-his-sec-nominee-mary\/article_8a6fd689-7de7-5a44-b03b-091822ddb6ae.html\">stating<\/a>, \u201cMary Jo is not someone you (Wall Street) want to mess with.\u201d President Trump\u2019s comments were in stark contrast; he urged that the role of SEC moving forward was to \u201cundo many regulations which have stifled investment in American businesses, and restore oversight of the financial industry in a way that does not harm American workers.\u201d Clayton <a href=\"http:\/\/www.bassberrysecuritieslawexchange.com\/2017\/01\/quick-fact-sheet-trumps-pick-sec-chair-jay-clayton\/\">echoed<\/a> the sentiments of the SEC\u2019s easing of compliance regulations, adding that \u201cWe will carefully monitor our financial sector, as we set policy that encourages American companies to do what they do best: create jobs.\u201d<\/p>\n<p>Further inferences about Mr. Clayton\u2019s aims for SEC compliance can be drawn from a 2011 paper that he oversaw, <a href=\"http:\/\/www.sullcrom.com\/siteFiles\/Publications\/Clayton_FCPA_Impacton_International_Business_Dec_2011.pdf\">The FCPA and Its Impact On International Business Transactions<\/a>. The report casts blame on \u201coverzealous\u201d SEC compliance for \u201ccausing lasting harm to the competitiveness of U.S. regulated companies and the U.S. capital markets.\u201d The report also describes the negative effect of overreaching compliance efforts, calling them a potential competitive disadvantage for American companies.<\/p>\n<p>Some critics of the nomination fear that with Clayton as chairman, the SEC\u2019s efforts to scale back regulation may end up being too lax and point to Clayton\u2019s close ties with Wall Street.\u00a0Rep. Maxine Waters (D-Calif.) called Clayton a \u201cWall Street insider\u201d and <a href=\"http:\/\/www.washingtonpost.com\/news\/wonk\/wp\/2017\/01\/04\/trump-to-tap-wall-street-lawyer-jay-clayton-to-head-sec\/?utm_term=.67ade2ff77c6\">said<\/a> that his appointment refutes the campaign promises of President Trump to \u201cget tough on Wall Street.\u201d\u00a0Despite this, former SEC enforcement chief Bill McLucas cautioned against hasty conclusions. McLucas framed Clayton\u2019s experiences with Wall Street firms in a positive light, <a href=\"http:\/\/www.washingtonpost.com\/news\/wonk\/wp\/2017\/01\/04\/trump-to-tap-wall-street-lawyer-jay-clayton-to-head-sec\/?utm_term=.67ade2ff77c6\">noting<\/a> his deep experience in corporate governance, and urging, \u201cIt is a mistake to think lawyers that have labored in this area are somehow tainted in their judgment.\u201d<\/p>\n<p>The professed aims of President Trump in nominating Clayton, Clayton\u2019s Wall Street tenure, and Clayton\u2019s past writing all demonstrate the directional change that the SEC is about to undergo. While it is certain that the move from enforcement of compliance regulations to undoing some of these \u201coverzealous\u201d regulations is the goal under Jay Clayton, whether this will \u201cmake the SEC great again\u201d remains to be seen.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Ed Tyrrell Associate Editor Loyola University Chicago School of Law, J.D. 2018 &nbsp; President Donald J.
